Additional Client Terms — Digital Advertising Management
The following provisions apply to Voonx clients only where incorporated into a digital advertising services engagement.
1. Definitions, applicability and priority
For these additional client-service provisions, “Voonx” or “Provider” means the Singapore company operating voonx.com that is identified as the contracting service provider in the relevant written proposal, service agreement or invoice. “Client” means the organisation or person engaging that Provider for services. These provisions apply to digital advertising management engagements, not merely to a person's viewing of this website. In the event of an inconsistency, a separate agreement or expressly accepted in writing by both parties prevails to the extent of that inconsistency.
2. Scope of advertising management
Voonx may establish, access, monitor, optimise or administer digital advertising campaigns, including on Google Ads, Meta/Facebook Ads and other agreed platforms. Work may include account configuration, budgets, bidding, keywords, audiences, targeting, campaign copy and reporting. Deliverables and service levels are limited to those expressly agreed in a proposal, statement of work or written correspondence. Unless agreed in writing, the standard management fee does not include the production of finished video, artwork, images, audio, landing pages, bespoke software or legally approved creative assets.
3. Authority and account ownership
The Client authorises Voonx to make routine and reasonably necessary changes to accounts and campaigns within the agreed scope, including creating, pausing, enabling, editing and removing campaign settings, ad groups and advertisements. The Client retains ownership and ultimate control of its advertising accounts, business representations, products and contractual relationships with advertising platforms. Granting administrator or partner access does not make Voonx the advertiser or an officer, employee, director or internal compliance function of the Client.
4. Independent contractor
Voonx performs services as an independent external contractor, not as the Client's partner, employee, director, agent for general purposes or legal adviser. Nothing in the engagement forms a partnership, joint venture or employment relationship. Voonx is not engaged to operate the Client's business or independently determine whether its products, statements, promotions or destinations are lawful.
5. Platform policies and legal compliance
The Client is responsible for making sure its business, products, services, advertising claims, landing pages, advertiser verifications and campaign activity comply with applicable laws and with the rules of Google Ads, Meta/Facebook Ads and any other selected platform. Voonx may recommend, upload or modify advertising materials as part of campaign work, but those acts do not represent a legal review, certification or guarantee of compliance. The Client must communicate applicable licences, industry restrictions, regulated-category rules, disallowed claims and necessary permissions to Voonx in writing and in advance. Voonx may refuse or pause instructions it reasonably considers unlawful or contrary to a platform's policies.
6. Mandatory disclosures, creative and AI material
The Client must specify in writing the exact required wording and placement of warnings, disclosures, qualifying statements, pricing, eligibility terms and other mandatory information. This includes notices about AI-generated or conceptual images, altered photographs, endorsements, product availability, regulated services and sector-specific advertising restrictions. For illustration, a Client using AI-generated property imagery may need a clear disclosure such as “AI-generated visualisation. Actual property may differ.” The illustration is not a universal legal disclosure and the Client must obtain advice on the wording and prominence actually required. Any creative draft or AI-assisted example voluntarily shared by Voonx is a suggestion, not a final approved asset or an expansion of the contracted production scope. The Client is responsible for reviewing, approving and clearing all creative materials before use.
7. Territories, currencies and local rules
Where campaigns are targeted to or displayed in multiple jurisdictions, the Client must determine and communicate the laws, local advertising requirements, currencies, taxes, mandatory prices, licences and disclosures applicable to each market. This includes any requirement that prices be displayed in the local currency or include particular fees or taxes. The Client must supply accurate and compliant information and obtain qualified local professional advice where necessary. Voonx is not retained to research or continuously monitor every advertising law or platform rule in each targeted territory.
8. Client materials, warranties and approvals
The Client warrants that it has the rights, permissions and consents necessary to supply and use content, trademarks, photographs, testimonials, personal data, model or property releases and other campaign materials. The Client is responsible for the accuracy of offers, pricing, substantiation of claims, website and landing-page content, and for reviewing material campaign changes and reporting errors promptly. The Client must notify Voonx without undue delay of changes in law, policies, stock availability, regulatory status, ownership or other information material to the campaigns. Where routine management proceeds without advance approval of every adjustment, that operational authority does not displace the Client's responsibility for the legality and accuracy of its underlying advertising.
9. Management fees and continuing monitoring
The agreed management fee is payable according to the accepted service proposal or invoice for each applicable service period. Management includes ongoing availability, oversight and monitoring, and is not measured solely by the number of individual campaign edits. A period in which no changes are considered necessary does not, by itself, reduce an agreed fee. Fees are separate from advertising media expenditure and third-party charges unless expressly agreed otherwise. Nothing here creates an indefinite right to charge after the agreement has properly ended.
10. Invoices, late payment and suspension
The Client must pay valid invoices by their stated due dates and raise good-faith billing questions promptly. If an undisputed amount becomes overdue, Voonx may, after giving reasonable notice where practicable, suspend further services or stop management of campaigns until payment is made. Voonx may withdraw access or remove Provider-owned materials where legally and contractually permitted, but is not granted an unrestricted right to destroy Client-owned data, accounts or content. Suspension does not extinguish fees already accrued. Any applicable late charges must be stated in the applicable agreement or invoice and comply with law.
11. Advertising spend and third-party billing
Google Ads, Meta/Facebook Ads and other advertising-platform charges are billed under the Client's separate account and contract with the relevant platform unless a specific written arrangement states otherwise. The Client is responsible for payment methods, budgets approved by it, invoice and tax details, billing disputes, refunds, chargebacks, verification and keeping sufficient funds available. Voonx does not control platform billing systems or guarantee that their charges, policies or refund outcomes will be error-free. A Client should direct platform billing disputes to the platform's billing support. Nothing excludes liability arising from Voonx's own conduct where applicable law does not allow it.
12. Third-party risks and performance
Online advertising depends on third-party platforms, algorithms, auctions, competition, account health, changes in platform features and matters outside Voonx's reasonable control. Voonx does not guarantee campaign approval, uninterrupted service, impressions, leads, conversions, rankings, sales, revenue, profit or a particular return on advertising spend. Estimates, forecasts and case studies are not guarantees of future results. The Client remains responsible for responding to platform account verification and ownership requests.
13. Intellectual property, confidentiality and data
Each party retains its pre-existing intellectual property. Ownership or licensing of newly commissioned deliverables will be governed by the written service agreement, and all third-party and open-source materials remain subject to their own licences. Each party must use the other party's confidential business information only as reasonably needed for the engagement and protect it with appropriate care, subject to lawful disclosure and information already public without breach. The parties must comply with applicable personal-data protection laws, including Singapore's Personal Data Protection Act 2012 where applicable, and agree separately on any required data-processing instructions, access controls, retention or international transfers. The website Privacy Policy remains applicable to website visitors.
14. Indemnities and allocation of responsibility
To the extent permitted by applicable law, the Client agrees to indemnify Voonx against reasonable third-party claims and documented costs to the extent directly caused by the Client's unlawful instructions, inaccurate or unsubstantiated statements, lack of rights in Client-supplied materials, or breaches of its platform-policy and legal-compliance obligations. This does not require the Client to indemnify Voonx for Voonx's fraud, wilful misconduct, or liability caused by Voonx's own negligence to the extent such allocation would be unlawful or unreasonable. Voonx must provide prompt notice of a relevant claim and reasonable cooperation in its defence.
15. Limitations of liability
To the fullest extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses or for loss of anticipated revenue, profit, business opportunity or goodwill arising from the services, except insofar as a mandatory law prohibits the exclusion. Subject to those protections, Voonx's aggregate contractual liability arising from a particular engagement will not exceed the management fees actually paid to Voonx for that engagement in the three months immediately before the event giving rise to the claim. This cap does not purport to exclude liability that cannot lawfully be excluded and is subject to any applicable statutory requirement of reasonableness, including under Singapore's Unfair Contract Terms Act 1977. The parties may agree a different risk allocation in their signed service agreement.
16. Term, termination and exit
Either party may terminate according to any written notice period agreed for the engagement. If no period is specified, either party may end recurring management services by providing reasonable written notice. Fees accrued for services supplied until the effective termination date remain payable. At the end of the engagement, Voonx's continuing monitoring and changes cease; the Client should review its accounts and advertising immediately to avoid unintended ongoing platform expenditure. Reasonable assistance with transfer of account access or work product may be agreed separately.
17. Governing law, changes and acceptance
These client-service provisions are governed by the laws of Singapore, and, subject to any mandatory law and any expressly agreed dispute-resolution process, the courts of Singapore have jurisdiction over disputes arising under them. The current published terms govern new engagements when accepted and do not automatically vary a previously agreed contract without lawful agreement. A Client accepts these service terms only where they are expressly incorporated into an agreed proposal, contract, invoice or service instruction and accepted through a legally effective process; merely viewing the website is not stated to constitute acceptance of a separate paid-service contract. Any variation should be recorded in writing.
